1. Acceptance of Terms

By accessing or using OAK Lens (“Service”), operated by Oak Media Works LLC, a Massachusetts limited liability company (“Company,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service. These Terms constitute a binding legal agreement between you and Oak Media Works LLC.

2. Description of Service

OAK Lens is a SaaS video and streaming analytics platform with ad automation capabilities designed for record labels, artist managers, and independent artists. The Service includes video performance tracking, streaming data correlation, AI-powered analysis, automated ad campaign management, and reporting tools.

3. User Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.
• Accounts are scoped to organizations. Access to catalog data is restricted to members of your organization.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Scrape, crawl, or otherwise extract data from the Service by automated means beyond the provided API.
• Redistribute, resell, or sublicense access to the Service or its data without written permission.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload malicious code, viruses, or any harmful content to the platform.
• Misrepresent your identity or affiliation with any person or organization.

5. Data Usage and Responsibilities

Your Data: You retain ownership of all catalog data (artists, tracks, video URLs) you provide to the Service. By using OAK Lens, you grant us a limited license to process this data solely to provide the Service.

Third-Party Data: The Service collects publicly available metrics from platforms including YouTube, TikTok, Instagram, and Spotify. You agree that your use of this data is subject to each platform’s respective terms of service and API usage policies.

Ad Platform Data: When using the ad automation features, you authorize OAK Lens to create and manage advertising campaigns on your behalf through connected ad platform accounts (Meta, Google Ads, TikTok Ads). You are solely responsible for ad spend budgets, billing with those platforms, and compliance with their advertising policies.

6. Intellectual Property

The Service, including its design, code, analytics methodologies, AI models, and branding, is the intellectual property of Oak Media Works LLC. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

7. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We may update these Terms from time to time; continued use after changes constitutes acceptance.

8. Limitation of Liability

To the maximum extent permitted by law, Oak Media Works shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Oak Media Works, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may request export of your catalog data within 30 days of termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Berkshire County, Massachusetts.
